Corporate and Securities Associate

We are seeking a corporate and securities associate with 3+ years of experience to become an integral part of our growing emerging markets practice, HQ in NYC.

Experience in corporate matters relating to startups, securities offerings, the JOBS Act, broker-dealer regulation and blockchain-related businesses is required. Capabilities in drafting complex private placements and managing multiple transactions at once are also requisite. The candidate will have excellent academic credentials, organizational skills, and strong interpersonal skills.

Candidate must be a member in good standing of the New York State Bar.

Experience:

  • Corporate formation, contracts, early-stage startup financing: 1 year (Required)
  • Drafting complex offering documents for exempt offerings under Reg D/Reg S…: 3 years (Required)
  • AmLaw 100 or AmLaw 200 law firm: 3 years (Preferred)

Education:
Juris Doctorate (Required)

Description:

The associate will work in a high paced environment, managing a dynamic client load. The primary practice areas will be corporate and securities, particularly focusing on early-stage companies across all industries, as well as real estate related syndications.

Your responsibilities will include:

  • Managing client relationships, performing diligence and preparing offering memoranda for a variety of traditional private placements and innovative tokenized offering structures.
  • Fund formation and preparation of capital raising documentation for private funds, including real estate, venture and crypto funds.
  • Overseeing the firm’s Regulation Crowdfunding clientele and assisting issuers from intake to launch of their equity crowdfunding campaigns.
  • Assisting the firm’s broker-dealer and funding portal clientele with Finra related matters.
  • New company formation and ongoing corporate governance related matters.
  • Managing your assigned law clerks / paralegals to support you in your objectives.
  • Staying current in regulatory developments and current events in the crowdfunding and blockchain industries.
