Experience

Manuel is a corporate and securities attorney in the New York City office of Sosnow & Associates. With extensive experience, he advises industry-leading startups and emerging growth companies throughout all stages of their corporate lifecycles. In particular, he has represented startups and emerging growth companies in numerous venture capital financings, crowdfunding financings (i.e., Reg CF and Reg A), private placements, mergers, acquisitions, secondary transactions, recapitalizations, and reorganizations.

In addition, he frequently serves as outside general counsel, providing practical business and legal advice to his startup and emerging growth company clients. His expertise spans a wide spectrum, encompassing corporate governance matters, equity compensation structuring, employment law, and intellectual property-related issues.

Manuel also dedicates a significant part of his practice to fund formation work, representing private equity funds, venture capital funds, and crypto funds from inception to liquidation. This involves representing fund managers and sponsors in the formation of new investment vehicles, general partner and investment adviser entities, (cross-border) capital raises, and day-to-day fund operations. He also represents his fund clients in their investments in portfolio companies.

Manuel’s clients are predominantly technology startups and emerging growth companies. He has counseled an array of clients operating in diverse industries, including artificial intelligence, fintech, blockchain & web3, SaaS, health tech, legal tech, property tech, and consumer goods. While his industry expertise is well-rounded, Manuel has been actively involved in the blockchain and web3 space since 2018. He has advised clients and web3 projects regarding securities regulation, digital securities offerings, venture capital financings integrating token exposure, token distributions, structuring and governance of DeFi protocols and applications, Decentralized Autonomous Organizations (DAOs), Non-Fungible tokens (NFTs) and airdrop sales and structures, and stablecoins.
