With extensive experience, he advises industry-leading startups and emerging growth companies throughout all stages of their corporate lifecycles. In particular, he has represented startups and emerging growth companies in numerous venture capital financings, crowdfunding financings (i.e., Reg CF and Reg A), private placements, mergers, acquisitions, secondary transactions, recapitalizations, and reorganizations.
In addition, he frequently serves as outside general counsel, providing practical business and legal advice to his startup and emerging growth company clients. He has advised clients and web3 projects regarding securities regulation, digital securities offerings, venture capital financings integrating token exposure, token distributions, structuring and governance of DeFi protocols and applications, Decentralized Autonomous Organizations (DAOs), Non-Fungible tokens (NFTs) and airdrop sales and structures, and stablecoins.
